Pro-Collect Terms & Conditions

LEGAL AGREEMENT
The following Terms and Conditions shall be considered a legal agreement between JTR Holdings, LLC doing business as Protech Child Care Solutions (the Service Provider), and the Daycare Provider (the Member) completing the Application Form, and shall be considered binding on the Day Care Facility, its management, staff, and any future assigns until such time as this agreement is terminated by 30 days written notice from either party.

DEFINITION OF SERVICE
Pro-Collect is a Membership Based Organization of Day Care Providers who have agreed to share limited/non-sensitive information on previous clients for the benefit of other members. Under no circumstances should the Pro-Collect service be considered a credit reporting agency since the shared information is not necessarily financial in nature.

MEMBERSHIP TYPES
The Pro-Collect Service provides two (2) Day Care Facility Membership Types: Full and Limited. A Limited/Free Membership allows a member to post information to the website and review and maintain that information. It does not allow the member to access information posted by other members. A Full/Paid Membership allows a member to post information to the website, and provides the member with full search access to information posted by other members.

ACCEPTABLE INFORMATION
Information included in the Day Care Providers postings should be factual, documented, and free from opinions and/or recommendations. A posting that resorts to name calling or defamatory comments is strictly prohibited. Each member must be free to evaluate his or her response to a posting based on the objective facts contained in that posting.

AGREEMENT TO BE CONTACTED
Each member agrees to be contacted from time to time by other members who require clarification or additional information. It is understood and agreed that members have a right to control the time frame for, as well as, the length of time dedicated to their responses, based on the day-to-day needs of their business. Conversely, each member agrees to limit their requests for additional information to situations, which in their best judgement, are absolutely necessary.

DATA RESPONSIBILITY
The information posted by each member is the responsibility of the posting member, and said member agrees to indemnify, defend, and hold harmless the Service Provider and other members from any liability that may result from the posted information.

MEMBERSHIP/PAYMENT TERMS
Services provided under this agreement shall be provided on a month to month basis with no long term commitment and shall be subject to the following terms and conditions:

  1. Service from the start of this agreement to its termination shall be continuous, and no refund or credit shall be due for periods of non-use. Membership renewal periods shall be calculated from the current expiration date and not from the date the renewal is processed.
  2. If the member purchases a discounted multi-month package, no partial refund shall be due should the member opt to terminate the multi-month period prematurely.
  3. The member understands and agrees that should he(she) allow his(her) subscription to expire, the system will no longer permit access to other member's postings. An expired member will still be permitted to log on and maintain his(her) postings, but the Search Function will be unavailable.
  4. The School Owner agrees that he(she) shall give the Service Provider thirty (30) days advance written notice of any intention to terminate this agreement.
  5. It is the member's responsibility to remember and identify Pro-Collect fees on his or her credit card or bank statement. The member understand and agrees that any dispute or chargeback fees assessed to the Service Provider because of the member's failure to recognize the transaction, shall be reimbursed to the Service Provider by the member.
  6. Membership is on a facility by facility basis and it is agreed and understood that members may not provide information obtained from the Service Provider to other non-member facilities. For the purpose of this agreement, a facility is determined by its unique street address, and two day care centers with the same parent company, but two different addresses, would be considered two facilities and would thus require two memberships.

RIGHT TO TERMINATE
The Service Provider retains the right to terminate any members access to the service if, in its sole judgement, the member has violated the terms and conditions specified in this agreement. Should the Service Provider fail to exercise its rights under this paragraph, this failure should not be considered as a waiver of the Service Providers right to do so in the future.
